Janhavi is a member of the firm’s Mergers & Acquisitions practice, advising domestic and international clients on a broad range of transactions, private equity investments, business transfers, restructurings, and general corporate advisory matters.

With over five years of experience, she has advised clients across diverse sectors, including manufacturing, technology, professional services, and consumer businesses. Her practice encompasses domestic and cross-border mergers and acquisitions, strategic investments, joint ventures, business and asset transfers, corporate reorganisations, and promoter and shareholder exits. She advises on acquisition deals involving foreign exchange compliance.

Janhavi has extensive experience in conducting legal due diligence exercises, identifying transaction risks, and providing practical and commercially focused solutions to facilitate deal execution. She is actively involved in transaction structuring, preparation, review and negotiation of transaction documents, including share purchase agreements, business transfer agreements, investment documents, and ancillary closing documentation.

In addition to transactional work, Janhavi regularly advises companies on corporate governance, Companies Act compliance, shareholder matters, board and shareholder approvals, secretarial and regulatory compliances, and implementation of complex corporate actions. She also assists clients with post-acquisition integration matters, restructuring exercises, and ongoing compliance requirements arising from completed transactions.

Janhavi works closely with promoters, investors, management teams, and other stakeholders throughout the transaction lifecycle, from preliminary diligence and structuring discussions to signing, closing, and post-closing implementation, ensuring efficient execution of complex and time-sensitive mandates.
