Vidhi is a corporate, commercial, and technology lawyer advising clients across the fintech, banking and finance, technology, and energy sectors. She advises on the structuring, drafting, and negotiation of domestic and cross-border transactions, helping clients align commercial objectives with legal, regulatory, and operational requirements. Her practice spans across commercial arrangements, strategic partnerships, and bespoke transactions requiring tailored legal and risk-allocation frameworks.

In the fintech sector, Vidhi advises on legal and regulatory matters across the financial services ecosystem, including digital payments, lending, data-sharing frameworks, technology-enabled financial products, and outsourcing arrangements. She assists clients in navigating evolving regulatory requirements and embedding compliance into operational and contractual frameworks through governance structures, policies, and risk management mechanisms. Her experience includes advising on the RBI's Account Aggregator ecosystem, Payment Aggregator and Payment Gateway framework, Digital Lending Guidelines, and outsourcing regulations. She also supports regulatory due diligence, product and business model reviews, compliance assessments, and the development of frameworks supporting regulated business models.

Within banking and finance, Vidhi advises lenders and borrowers on a broad range of financing transactions. Her experience includes loan documentation, equipment and machine financing arrangements, bank guarantees, security documentation, bill discounting structures, refinancing transactions, and debt restructuring exercises. She regularly assists clients in identifying and managing legal and commercial risks while ensuring financing documentation accurately reflects the parties' commercial understanding.

As a technology lawyer, Vidhi advises businesses operating across SaaS, PaaS, IaaS, and other technology-driven business models. Her experience includes drafting and negotiating master service agreements, managed services agreements, software licensing agreements, statements of work, reseller arrangements, technology procurement contracts, outsourcing arrangements, and vendor agreements. She also advises on intellectual property licensing and commercialisation, technology due diligence, vendor risk assessments, technology divestments, and contractual risk management in digital transformation projects.

In the energy sector, Vidhi advises on power purchase agreements, operation and maintenance agreements, engineering, procurement and construction (EPC) contracts, and related project documentation. She works closely with business, procurement, compliance, and operational stakeholders to navigate legal and commercial considerations across a range of transactions and projects.
